and Conditions
These are the general terms and conditions
of the company, which shall apply to any project carried out by the
company for any client. Definitions: The 'company' means Good Guys.
The 'client' means any company or business by whom the company is requested
to work on a project or provide quotations.
The 'project' means any design, copy, marketing recommendations or other
work which the company prepares for the client.
1. The company undertakes to make every effort to produce work of the
highest possible standard and to fulfil every element of the client's
brief, keeping the client fully informed at all stages of the project.
2. All projects introduced by a client will be costed and quoted by
the company to the client before work on any such project is commenced.
Any such costing or quotation (the 'quotation'), which may include any
specifications relevant to the project, will be exclusive of VAT, office
expenses and disbursements.
3. Quotations by the company may be subject to omissions or additions
reflecting changes in the client's instructions. The client will be
kept informed of the cost implications of such changes, either by email,
fax or letter.
4. If the client agrees verbally or in writing (the 'client's approval')
to the commencement or continuation of any project, the client is thereby
deemed to accept the implementation of all specifications and payment
of all costs set out in the quotation and all terms and conditions outlined
here.
5. The company reserves the right to submit an invoice to the client
for 50% of the quotation price at any stage after the client's agreement,
and a further invoice for the balance on completion of the project.
6. Payment must be received within 14 days from the date of the invoice,
unless otherwise agreed with the client.
7. Interest at the rate of 3% above HSBC Bank base rate may be charged
on amounts still outstanding after 14 days from the date of invoice.
8. Proposed dates for delivery to the client of any part of the project
(the 'delivery dates') may be rescheduled by the company if the specifications,
instructions or proposed timetable are changed by the client. If any
delays in complying with delivery dates arise through factors outside
the company's control, the company shall not be held liable for any
loss thereby incurred by the client.
9. In order to enable the company to adhere to the delivery dates, the
client must keep to the agreed schedules and timetables regarding supply
of information, data and materials to the company, and must make itself
available for approval and signing-off at key design, artwork and proof
stages.
10. Once verbal or written approval has been given by the client at
any stage in the project, all elements of the project which have been
seen by the client prior to such approval shall be deemed to be accepted
by the client for progress to the next stage of the project.
11. The company shall not be liable for consequential loss arising from
any work it carries out for the client.
12. Mileage is charged at 40p per mile.
